Terms and Conditions
onything, bureaubakker, Voorstraat 39, 2611JK Delft, Netherlands("onything", "we", "us") operates the online platform onything at ondocuments.org and onything.org (the "Service"). These Terms and Conditions ("Terms") govern all contracts between us and our customers regarding the use of the Service.
1. Scope
1.1 These Terms apply to all use of the Service by companies, publishers, their team members and readers ("Customer", "User"). 1.2 The Service is offered primarily to entrepreneurs within the meaning of § 14 BGB. Where a consumer (§ 13 BGB) uses the Service, mandatory consumer protection law remains unaffected. 1.3 Deviating terms of the Customer do not apply unless we expressly agree to them in writing.
2. The Service
2.1 onything is a software-as-a-service platform for uploading, organising, reading, searching and analysing documents (mainly PDF files), including text recognition (OCR), automatic tagging, connections between documents, citations, and AI-supported chat and research functions. 2.2 The specific scope of functions depends on the selected plan (e.g. Free, Solo, Team, Publisher Pro) as described on the platform at the time of the order. 2.3 We may further develop the Service and change functions, as long as the essential features of the booked plan are preserved. 2.4 We aim for high availability but do not guarantee uninterrupted availability. Maintenance, security updates and circumstances beyond our control (e.g. failures of hosting or AI providers) may cause interruptions.
3. Registration and accounts
3.1 Use requires registration with a valid email address. Information provided must be true and complete. 3.2 Users who are not invited by a company create their own company account and become its administrator. Invited users join the inviting company after confirming their email address. 3.3 Access data must be kept confidential. The Customer is responsible for all activities under its accounts and must inform us immediately of any misuse. 3.4 Company administrators decide on inviting, pausing and removing team members.
4. Plans, prices and payment
4.1 The prices for paid plans, additional seats and usage-based extra charges (e.g. additional storage, documents, AI questions or tokens) are shown on the platform. All prices are net plus statutory VAT unless stated otherwise. 4.2 Paid plans are billed in advance for the respective billing period via our payment provider Stripe. Additional seats are billed per active member; extra usage is billed with the following invoice, if the Customer has activated extra charges. 4.3 Plan limits (documents, storage, questions, tokens, users) are enforced technically. If a limit is reached, further use of the affected function may be blocked until the next period, an upgrade, or activation of extra charges. 4.4 We may adjust prices with at least six weeks' notice before the start of a new billing period. The Customer may then cancel with effect from the date of the change.
5. Reader subscriptions
5.1 Publishers on eligible plans can offer paid reader subscriptions for selected documents. Payments are processed via Stripe Connect directly to the publisher's Stripe account; we retain a platform fee as shown on the platform. 5.2 The contract for content between reader and publisher is concluded with the publisher. The publisher is solely responsible for its content, prices, invoices and taxes towards readers.
6. Term and termination
6.1 Free plans run for an indefinite period and can be terminated by either party at any time. 6.2 Paid plans renew automatically for the respective billing period unless cancelled before the end of the current period. Cancellation is possible in the billing area of the platform. 6.3 The right to terminate without notice for good cause remains unaffected. Good cause exists in particular in the case of serious breaches of these Terms or payment default. 6.4 After termination, the Customer may export its content for 30 days. Afterwards we will delete the content, unless statutory retention obligations apply.
7. Customer content
7.1 The Customer retains all rights to the documents and other content it uploads ("Content"). 7.2 The Customer grants us a simple, non-transferable right, limited to the term of the contract, to store, process, analyse (including via OCR and AI providers) and display the Content insofar as this is necessary to provide the Service. 7.3 The Customer warrants that it holds all rights required for the upload and processing of the Content and that the Content does not infringe third-party rights or applicable law. The Customer indemnifies us against third-party claims arising from a culpable breach of this warranty. 7.4 Content marked as public may be viewed by all users of the platform. The Customer is responsible for visibility settings. 7.5 We may block Content if there are concrete indications that it is unlawful.
8. AI-generated output
8.1 The Service uses artificial intelligence (currently provided by Mistral AI) to recognise text, describe images, create tags, summaries, citations and answers. 8.2 AI-generated output may be incomplete, outdated or wrong ("hallucinations"). It does not replace professional advice or checking against the original sources. Users must verify AI output before relying on it. 8.3 We are not liable for decisions made on the basis of AI output, subject to Section 10.
9. Acceptable use
Users must not: upload unlawful content or malware; attempt to access other companies' data; circumvent technical limits or security measures; use the Service for automated mass queries outside its intended use; resell the Service without our consent.
10. Liability
10.1 We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act, and in the case of an assumed guarantee. 10.2 In case of slight negligence, we are only liable for breach of an essential contractual obligation (an obligation whose fulfilment enables proper performance of the contract and on whose compliance the Customer may regularly rely), limited to the foreseeable damage typical for this type of contract. 10.3 Liability for data loss is limited to the typical recovery effort that would have occurred with regular backups appropriate to the risk. 10.4 Otherwise, liability is excluded. The above limitations also apply in favour of our employees and agents.
11. Data protection
We process personal data in accordance with our Privacy Policy. Where we process personal data on behalf of the Customer, a data processing agreement pursuant to Art. 28 GDPR is concluded, which can be requested at [privacy email].
12. Changes to these Terms
We may change these Terms with effect for the future if there is a valid reason (e.g. legal changes, new functions). We will notify Customers at least six weeks in advance by email or on the platform. If the Customer does not object within this period, the changes are deemed accepted; we will point this out in the notification.
13. Final provisions
13.1 The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. 13.2 If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction is [City], Germany. 13.3 Should individual provisions be invalid, the validity of the remaining provisions remains unaffected. 13.4 The EU Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr. We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board.
